Abstract
The study develops an empirical panel-data framework based on secondary information obtainable from corporate annual reports, stock-exchange disclosures, financial databases, and corporate-governance reports. Agency theory, stewardship theory, stakeholder theory, and resource-dependence theory provide the theoretical foundations for explaining the relationship between governance structures and corporate outcomes. The proposed empirical models control for firm size, financial leverage, firm age, sales growth, and industry effects.
The analysis of the existing literature indicates that corporate governance can influence financial performance, but individual governance mechanisms do not necessarily produce uniform outcomes across companies, industries, and institutional environments. Board independence and effective audit oversight may strengthen monitoring and financial reporting quality, while excessively large boards can increase coordination costs. Board diversity can broaden expertise and perspectives, although empirical evidence concerning its direct financial-performance effect remains mixed. The paper concludes that corporate governance should be evaluated as an integrated system rather than through individual mechanisms in isolation. Strong governance structures combined with transparency, accountability, effective board monitoring, appropriate ownership structures, and strategic oversight can contribute to sustainable corporate financial performance.
